Why Registration Matters

  • Right to File Suit: An unregistered firm cannot sue third parties for breach of contract, leaving business dues vulnerable.
  • Bank Account Opening: Most commercial banks strictly require a registered or notarized deed to open a current account in the firm's name.
  • Clear Conflict Resolution: A well-drafted deed bypasses the default rules of the Partnership Act, dictating exactly how internal disputes and dissolutions are managed.
  • Taxation Benefits: A registered deed is essential for claiming specific deductions on partner salaries and interest on capital under the Income Tax Act.

The Practice

A handshake is not a legal safeguard

Starting a business with partners requires more than mutual trust; it requires a legally binding framework. Without a custom-drafted Partnership Deed, your business defaults to the rigid, often unfavorable provisions of the Indian Partnership Act, 1932—where profits are split equally regardless of effort, and no salaries can be drawn.

Led by Advocate Prince Mishra and team, Veeraya Legal ensures that every operational nuance—from capital contribution and profit ratios to intellectual property ownership and exit strategies—is explicitly codified, stamped, and legally registered.

Drafting Precision

What goes into a robust Partnership Deed?

A generic template downloaded online leaves critical gaps. We draft comprehensive deeds that anticipate and neutralize future conflicts.

A partnership deed is the constitution of your firm. It outlines the name, principal place of business, and the nature of the enterprise. Beyond these basics, it must clearly define the financial and operational mechanics of the relationship.

We work closely with founding partners to ensure capital commitments are documented, working partner salaries are structured for tax efficiency, and the procedure for admitting new partners or handling a partner's retirement/death is unambiguously settled beforehand.

Crucial clauses we include

  1. Financial Architecture: Specific capital contributions, interest on capital, partner salaries, and the exact profit/loss sharing ratio.
  2. Operational Duties: Demarcation of active vs. dormant partners, banking operation rights, and day-to-day management authority.
  3. Dispute Resolution: Mandatory mediation and arbitration clauses to keep internal conflicts out of public courts and prevent business paralysis.
  4. Dissolution & Exit: Clear terms for retirement, death, expulsion of a partner, and the method of valuation for the exiting partner's share.

Frequently Asked

Questions we hear most often

Is it mandatory to register a Partnership Firm in Delhi?+
While registration under the Indian Partnership Act, 1932 is not strictly mandatory, it is highly recommended. An unregistered firm cannot file a civil suit against a third party for breach of contract, nor can partners sue each other to enforce rights arising from the deed.
What happens if we do business without a written Partnership Deed?+
Without a written deed, the default provisions of the Partnership Act apply. This means all profits and losses are shared equally (regardless of who invested more), no partner gets a salary, and no interest is paid on capital. This is the leading cause of business disputes.
What is the stamp duty for a Partnership Deed in Delhi?+
In Delhi, stamp duty depends on the capital contribution of the firm (typically 1% of the capital amount, subject to a maximum cap). We assist in calculating the exact amount and procuring the correct e-stamp paper.
Can a Partnership Deed be changed later?+
Yes. A deed can be amended to change the firm's name, address, business nature, profit-sharing ratios, or to admit/retire partners. This is done by drafting a Supplementary Deed, which must also be stamped and filed with the RoF.
How is a Partnership different from an LLP?+
A traditional partnership has unlimited liability (partners' personal assets can be attached for business debts), whereas a Limited Liability Partnership (LLP) protects personal assets. However, a traditional partnership involves less annual compliance and lower setup costs. We can advise which structure suits you best.
